PalcoTV Terms of Service

1. Acceptance of Terms
By accessing or using the PalcoTV mobile application, website (palcotv.app), or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
Your continued use of the Service after any modifications to these Terms constitutes acceptance of those modifications. We will provide at least thirty (30) days' notice of material changes by posting a notice within the Service or sending you an email.
2. Eligibility
2.1 Age Requirement
You must be at least seventeen (17) years of age to access or use the Service. By using PalcoTV, you represent and warrant that you are at least 17 years old. PalcoTV is rated 17+ (Mature) on the Apple App Store and Google Play Store.
All users, including guests who do not create an account, must provide their date of birth before accessing any content on PalcoTV. If you are under 17, you are prohibited from using the Service, and we will not knowingly collect any personal information from you.
2.2 User Representations
By using the Service, you represent and warrant that:
- You are at least 17 years of age;
- You have the legal capacity to enter into a binding agreement;
- You will provide accurate, current, and complete information;
- You will not access the Service if you have been previously banned or removed;
- Your use of the Service will not violate any applicable law or regulation.
2.3 Streamer Eligibility
To broadcast content on PalcoTV ("stream"), you must be at least eighteen (18) years of age and complete identity verification as described in the PalcoTV Streamer Agreement. Streamers must agree to and comply with both these Terms and the separate Streamer Agreement.
3. Account Registration and Security
3.1 Account Creation
You may create an account using Apple Sign-In or Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Stream Keys
If you are a verified streamer, you will receive a unique stream key. You are solely responsible for keeping your stream key confidential. Sharing your stream key with any third party is prohibited and may result in immediate account termination. PalcoTV is not responsible for any unauthorized use of your stream key.
3.3 Account Accuracy
You agree to provide accurate and complete information when creating your account and to update such information as necessary to keep it accurate and complete.
4. User Conduct and Prohibited Activities
4.1 General Conduct
You agree to use the Service only for lawful purposes and in accordance with these Terms and the PalcoTV Community Guidelines, which are incorporated herein by reference.
4.2 Prohibited Activities
You agree NOT to:
- Use the Service if you are under 17 years of age;
- Provide false information about your age, identity, or any other personal details;
- Rebroadcast, retransmit, or redistribute any sports match, game, or event footage through the Service (this includes displaying match feeds, screenshots of match footage, or any content for which you do not hold broadcasting rights);
- Engage in hate speech, harassment, bullying, doxxing, or threats of violence;
- Post, stream, or transmit content that is obscene, pornographic, or sexually explicit;
- Post, stream, or transmit content depicting or promoting illegal activity;
- Post, stream, or transmit content that exploits minors in any way;
- Impersonate any person or entity, including PalcoTV staff or moderators;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its servers, or connected networks;
- Use automated scripts, bots, or scrapers to access the Service;
- Circumvent, disable, or otherwise interfere with any security features of the Service;
- Use the Service to send spam, advertisements, or unsolicited promotions;
- Engage in any activity that could damage, overburden, or impair the functioning of the Service;
- Encourage or enable any other individual to do any of the foregoing.
5. Content
5.1 User-Generated Content
The Service allows users to create, upload, stream, and share content ("User Content"). You are solely responsible for your User Content and the consequences of posting or publishing it.
5.2 Content Ownership
You retain all ownership rights in your User Content. PalcoTV does not claim ownership of any User Content you create or share through the Service.
5.3 License to PalcoTV
By creating, uploading, streaming, or sharing User Content through the Service, you grant PalcoTV a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content solely in connection with operating and providing the Service, including but not limited to:
- Displaying your live streams to viewers;
- Storing and delivering stream recordings (if applicable);
- Displaying stream thumbnails, metadata, and clips for promotional purposes;
- Enabling the technical delivery of content (including transcoding, encoding, and format conversion).
This license terminates when you delete your User Content or your account, except to the extent that copies of such content remain in routine backup systems or as required by law.
5.4 Content Moderation
PalcoTV reserves the right, but is not obligated, to monitor, review, and remove any User Content at its sole discretion, for any reason, including but not limited to content that violates these Terms or the Community Guidelines. PalcoTV is not responsible for any User Content posted by users.
5.5 Match Rebroadcasting Prohibition
You may NOT rebroadcast, retransmit, or display any live sports match, game, or event footage through PalcoTV. PalcoTV is a reaction streaming platform. Streamers broadcast their own reaction-layer production — their camera, microphone, and any creator-controlled overlays composed in their broadcasting software — while viewers watch the actual sporting event on their own separate application. Violation of this provision may result in immediate stream termination and account suspension or permanent ban.
6. Donations and Payments
6.1 Viewer Donations
Viewers may send monetary donations ("tips") to streamers through the Service. Donations are voluntary and are intended as a gesture of support for the streamer.
6.2 Fee Structure and Revenue Split
PalcoTV charges a platform fee on donations. In addition, platform store fees (Apple App Store, Google Play) and payment processing fees (Stripe) are deducted before the streamer receives their payout. The specific fee breakdown depends on the purchase channel (iOS, Android, or web) and may change over time as platform and processor rates change.
Current fee details are available in your Streamer Dashboard once you are a verified streamer. The "Up to 90%" figure referenced in PalcoTV marketing materials reflects eligible web donations before payment processing fees. Mobile donations are subject to additional platform store commissions set by Apple and Google, which reduce the net payout to streamers.
Actual payout amounts may vary based on transaction size, purchase channel, currency conversion, and applicable processing fees.
6.3 Refund Policy
All donations are final and non-refundable once processed, except as required by applicable law or the policies of Apple, Google, or Stripe. If you believe a donation was made in error or without your authorization, please contact us at [email protected] within fourteen (14) days of the transaction.
For purchases made through Apple In-App Purchase or Google Play Billing, refund requests must be directed to Apple or Google, respectively, in accordance with their refund policies. PalcoTV does not have the ability to process refunds for transactions completed through Apple or Google.
6.4 Streamer Payouts
Streamer payouts are processed through Stripe Connect. Streamers must have a valid Stripe Connect account to receive payouts. Payout terms, schedules, and minimum thresholds are described in the Streamer Agreement. PalcoTV reserves the right to withhold payouts pending investigation of suspected fraud, Terms violations, or compliance issues.
6.5 Tax Obligations
Users and streamers are solely responsible for determining and fulfilling their own tax obligations arising from the use of the Service, including any donations received or sent. PalcoTV will issue IRS Form 1099 to U.S.-based streamers who earn $600 or more in a calendar year, as required by law. PalcoTV does not provide tax advice.
7. Intellectual Property
7.1 PalcoTV Intellectual Property
The Service, including its design, logos, trademarks, software, and all content created by PalcoTV (excluding User Content), is the property of PalcoTV and is protected by United States and international intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written permission.
7.2 Feedback
Any feedback, suggestions, or ideas you provide to PalcoTV regarding the Service may be used by PalcoTV without any obligation to you, including without compensation or attribution.
8. Copyright and DMCA Policy
PalcoTV respects the intellectual property rights of others. Our policy regarding copyright infringement claims is set forth in our DMCA Policy, which is incorporated herein by reference.
If you believe that your copyrighted work has been copied or used in a way that constitutes copyright infringement, please follow the procedures outlined in our DMCA Policy.
9. Termination and Suspension
9.1 Termination by You
You may terminate your account at any time by contacting us at [email protected] or through the account settings within the Service.
9.2 Termination or Suspension by PalcoTV
PalcoTV reserves the right to suspend, restrict, or terminate your account and access to the Service at its sole discretion, at any time, with or without cause, and with or without notice. Reasons for termination or suspension may include, but are not limited to:
- Violation of these Terms or the Community Guidelines;
- Suspected fraudulent, abusive, or illegal activity;
- Extended periods of inactivity;
- Requests by law enforcement or government agencies;
- Technical or security issues;
- Any conduct that PalcoTV, in its sole discretion, deems harmful to other users, third parties, or the Service itself.
9.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Service will immediately cease;
- PalcoTV may delete your account data, User Content, and associated information, subject to applicable law and our Privacy Policy;
- Any pending streamer payouts for previously earned amounts will be processed in accordance with the Streamer Agreement, subject to any holds for investigation;
- Sections of these Terms that by their nature should survive termination will survive (including, without limitation, Sections 7, 10, 11, 12, 13, and 14).
9.4 Strike System
PalcoTV employs a progressive discipline system for content violations, as described in the Community Guidelines. Violations may result in warnings, temporary suspensions (24 hours or 7 days), or permanent bans, depending on severity and history.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PALCOTV DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
PALCOTV DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR QUALITY OF ANY USER CONTENT AVAILABLE THROUGH THE SERVICE.
YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PALCOTV, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:
- YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE;
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES;
- ANY USER CONTENT OBTAINED FROM THE SERVICE;
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT;
- ANY DONATIONS OR PAYMENTS MADE THROUGH THE SERVICE.
IN NO EVENT SHALL PALCOTV'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PALCOTV IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
12. Indemnification
You agree to indemnify, defend, and hold harmless PalcoTV, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your User Content;
- Your violation of these Terms;
- Your violation of any rights of any third party, including intellectual property rights, broadcasting rights, or privacy rights;
- Your violation of any applicable law or regulation.
13. Binding Arbitration and Class Action Waiver
13.1 Agreement to Arbitrate
YOU AND PALCOTV AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE (COLLECTIVELY, "DISPUTES") SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT, except that either party may bring an individual action in small claims court if the claim qualifies.
13.2 Arbitration Rules
Arbitration shall be conducted by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by this Section. The AAA Rules are available at www.adr.org. The arbitration shall be conducted by a single arbitrator.
13.3 Arbitration Fees
For claims of $10,000 or less, PalcoTV will pay all AAA filing fees and arbitrator costs. For claims exceeding $10,000, arbitration fees shall be split in accordance with AAA Consumer Arbitration Rules, unless the arbitrator determines that such costs are prohibitive, in which case PalcoTV will pay a greater share.
13.4 Class Action Waiver
YOU AND PALCOTV AGREE THAT EACH PARTY MAY BRING DISPUTES ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
13.5 Opt-Out
You may opt out of this arbitration agreement by sending written notice to PalcoTV within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address associated with your PalcoTV account, and a clear statement that you wish to opt out of this arbitration agreement.
13.6 Exceptions
This arbitration agreement does not preclude you from bringing issues to the attention of federal, state, or local government agencies, including the Federal Trade Commission. Such agencies can, if the law allows, seek relief on your behalf.
13.7 Severability of Arbitration Provisions
If any portion of this Section 13 is found to be unenforceable, the remainder of this Section shall continue to apply. If Section 13.4 (Class Action Waiver) is found to be unenforceable, then the entirety of this Section 13 shall be null and void, and the dispute shall be decided by a court of competent jurisdiction in Texas.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Subject to Section 13 (Binding Arbitration), any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of such courts.
15. Texas Deceptive Trade Practices Act Notice
PalcoTV is a live streaming platform that enables streamers to broadcast camera-only reaction content to viewers. PalcoTV does not guarantee:
- That streams will be uninterrupted, error-free, or available at all times;
- Any specific number of viewers, donations, or earnings for streamers;
- That all features described will be available in all regions or on all devices;
- Compatibility with any specific sports broadcasting application.
If you have a complaint about the Service, you must provide written notice to PalcoTV at least sixty (60) days before filing any legal action, in accordance with Texas Business & Commerce Code Section 17.505(a).
16. General Provisions
16.1 Entire Agreement
These Terms, together with the Privacy Policy, Community Guidelines, Streamer Agreement (if applicable), and DMCA Policy, constitute the entire agreement between you and PalcoTV regarding the Service and supersede all prior agreements and understandings.
16.2 Waiver
The failure of PalcoTV to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
16.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without the prior written consent of PalcoTV. PalcoTV may assign these Terms without restriction.
16.5 Notices
PalcoTV may provide notices to you via email, in-app notification, or by posting on the Service. Notices to PalcoTV should be sent to [email protected].
16.6 Force Majeure
PalcoTV shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, natural disasters, government actions, or Internet service interruptions.
17. Changes to These Terms
PalcoTV reserves the right to modify these Terms at any time. We will provide at least thirty (30) days' notice of material changes by posting a notice within the Service, updating the "Effective Date" at the top of these Terms, or sending you an email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.
