PalcoTV Streamer Agreement

This Streamer Agreement ("Agreement") is a legally binding contract between you ("Streamer," "you," or "your") and PalcoTV LLC ("PalcoTV," "we," "us," or "our"). This Agreement governs your participation as a content creator on the PalcoTV platform.
By completing the streamer verification process and broadcasting content on PalcoTV, you agree to be bound by this Agreement, the PalcoTV Terms of Service, the Privacy Policy, and the Community Guidelines, all of which are incorporated herein by reference.
1. Eligibility
1.1 Age Requirement
You must be at least eighteen (18) years of age to stream on PalcoTV. This is a separate and higher requirement than the 17+ age minimum for viewers.
1.2 Identity Verification
Before your first broadcast, you must complete identity verification through our designated verification provider (currently Stripe Identity). The verification process includes:
- Submission of a valid, government-issued identification document (passport, driver's license, or national ID card);
- A selfie for liveness verification;
- Confirmation that you are at least 18 years of age.
PalcoTV does NOT store your identification document images, full legal name from ID, ID number, or home address from ID. Our verification provider (Stripe Identity) processes and retains this information pursuant to its own privacy policy. PalcoTV stores only your verification status (verified/pending/rejected), verification date, country of identification document, and date of birth extracted from the ID for age confirmation.
1.3 Beta/Founder Program
During the beta period, identity verification may be conducted manually by PalcoTV (e.g., via video call with a PalcoTV team member). Manual verification carries the same legal effect as automated verification.
Streamers who join during the beta period and are designated as "Founders" will receive a permanent Founder badge on their profile. The Founder badge is cosmetic and does not affect the terms of this Agreement.
1.4 Community Guidelines Acceptance
Before your first broadcast, you must read and accept the PalcoTV Community Guidelines. When the Community Guidelines are updated, you will be required to review and re-accept the updated version before your next broadcast.
2. Content Obligations
2.1 Reaction Content Only
PalcoTV is a reaction streaming platform. You may broadcast your own reaction-layer production, which includes your camera, your microphone, your voice, and any creator-controlled overlays you compose in your broadcasting software (such as scoreboards, match info text, chat widgets, donation alerts, or similar creator-controlled graphics). You may NOT:
- Rebroadcast, retransmit, or display actual sports match footage, game feeds, or any content for which you do not hold broadcasting rights;
- Point your camera at a television, monitor, or screen displaying a live sporting event;
- Screen-share any sports broadcasting application or service;
- Display copyrighted match highlights, replays, or footage in any form.
Violation of this section is a severe offense and will result in immediate stream termination and a minimum Tier 2 suspension (7-day suspension). Repeated violations will result in a permanent ban.
2.2 Community Guidelines Compliance
You must comply with the PalcoTV Community Guidelines at all times while streaming. The Community Guidelines are incorporated into this Agreement by reference.
2.3 Stream Key Security
You are solely responsible for the security of your stream key. You must not share your stream key with any third party. If you believe your stream key has been compromised, you must notify PalcoTV immediately at [email protected]. PalcoTV is not responsible for any unauthorized use of your stream key.
2.4 Accurate Information
You must provide accurate and complete information in your stream titles, descriptions, categories, and profile. Misleading metadata (e.g., listing a stream as "Champions League Final" when you are not streaming during that event) undermines user trust and may result in enforcement action.
2.5 Audio Isolation Requirement
You must ensure that no broadcast audio enters your microphone signal at any time while you are streaming on PalcoTV.
To comply with this requirement, you must use one of the following methods while streaming:
(a) Earphones or headphones: You must route all audio from your television, mobile device, or computer through earphones or headphones with sufficient isolation to prevent microphone pickup of broadcast audio. In-ear monitors (IEMs), closed-back headphones, or noise-isolating earbuds all satisfy this requirement. Open-back headphones with significant audio bleed do NOT satisfy this requirement; and
(b) Muted broadcast source: You must mute the television, device, or application displaying the sporting event so that no broadcast audio is audible in the room in which you are streaming. Running commentary or crowd audio emanating from speakers -- even at low volume -- is prohibited.
What this means in practice: You may watch the game through your own licensed broadcast application while streaming your reaction. You may NOT allow that application's audio to be captured by your microphone. Using a split-screen setup, OBS scene, or a second device does not relieve you of this obligation. The obligation applies regardless of whether you believe your microphone is sensitive enough to pick up background audio.
Why this obligation exists: PalcoTV's platform transmits only your original content -- your face and your voice. If broadcast audio enters your microphone signal, copyrighted broadcast material (commentary, crowd noise, music) is transmitted through PalcoTV's infrastructure without authorization. Even inadvertent broadcast audio capture creates legal risk for both you and PalcoTV under applicable copyright law, including the exclusive rights provisions of 17 U.S.C. Section 106 and equivalent provisions in other jurisdictions. This clause is a contractual protection for you as well as for PalcoTV.
Consequences of violation:
- First detected violation: Immediate stream termination. Minimum Tier 1 suspension (24-hour streaming ban). A written warning will be issued to your registered email address.
- Second violation within 90 days: Immediate stream termination. Minimum Tier 2 suspension (7-day streaming ban). Pending payouts may be placed on hold during the investigation period.
- Third violation, or any single violation that generates a DMCA notice or legal claim: Minimum Tier 3 suspension (30-day streaming ban), escalating to permanent termination at PalcoTV's sole discretion. Any pending payouts may be withheld pending resolution of any third-party legal claim.
PalcoTV may detect violations through viewer reports, automated monitoring, or DMCA takedown notices from broadcast rights holders. Detection does not require real-time monitoring of every stream.
3. Revenue Share
3.1 Donation Revenue Split
PalcoTV operates on a 90/10 revenue split for viewer donations ("tips"). This means:
- Streamer receives: 90% of the donation amount remaining after applicable platform processing fees (Apple In-App Purchase commission, Google Play Billing commission, or Stripe transaction fees).
- PalcoTV retains: 10% of the donation amount remaining after applicable platform processing fees.
The platform processing fees are charged by Apple, Google, or Stripe before the 90/10 split is applied. PalcoTV's 10% is calculated on the post-platform-fee amount, not on the original donation amount.
3.2 Revenue Waterfall by Channel
For full transparency, here is what happens to each donation dollar:
iOS (Apple In-App Purchase -- 15% Apple Small Business Program rate):
- Apple takes 15% commission: $0.15 per dollar
- Remaining: $0.85
- PalcoTV takes 10% of remaining: $0.085
- Streamer receives: $0.765 (76.5% of original donation)
Android (Google Play Billing -- 15% rate for developers earning under $1M/year):
- Google takes 15% commission: $0.15 per dollar
- Remaining: $0.85
- PalcoTV takes 10% of remaining: $0.085
- Streamer receives: $0.765 (76.5% of original donation)
Web (palcotv.app via Stripe -- example at $5 donation):
- Stripe takes ~2.9% + $0.30: ~$0.445 per $5
- Remaining: ~$4.555
- PalcoTV takes 10% of remaining: ~$0.456
- Streamer receives: ~$4.099 (82% of original donation)
These figures are approximate. Actual amounts may vary based on transaction size, currency, and current processing fee schedules. The web purchase channel provides the highest effective payout to streamers.
3.3 Subscription Revenue (Future)
If PalcoTV introduces viewer subscriptions to individual streamer channels in the future, the revenue split for subscriptions will be communicated to you with at least thirty (30) days' notice before implementation. You will have the opportunity to review and accept the subscription terms before they take effect.
3.4 Changes to Revenue Split
PalcoTV reserves the right to modify the revenue split percentages with at least ninety (90) days' written notice to you. Any change to the revenue split will apply to donations received after the effective date of the change. Donations received before the effective date will be paid at the rate in effect at the time they were received.
4. Payouts
4.1 Payment Provider
Streamer payouts are processed through Stripe Connect. You must create and maintain a valid Stripe Connect account to receive payouts. PalcoTV is not responsible for any issues with your Stripe Connect account, including account holds, verification requirements, or delays imposed by Stripe.
4.2 Minimum Payout Threshold
You must accumulate a minimum balance of $25 before a payout can be initiated. Balances below the minimum threshold will carry forward to the next payout period.
4.3 Payout Schedule
Payouts are processed on a monthly basis. Payouts are initiated within 15 business days after the end of the payout period. Actual arrival time in your bank account depends on your financial institution and Stripe's processing time.
4.4 Payout Holds
PalcoTV reserves the right to place a hold on your pending payouts in the following circumstances:
- Suspected fraud or Terms violations under investigation;
- Pending resolution of a DMCA complaint or copyright dispute;
- Pending resolution of a Community Guidelines violation;
- Compliance with legal requirements (court orders, subpoenas, etc.);
- Chargeback or refund disputes on donations received.
Holds will be resolved as quickly as reasonably possible. If your account is terminated, any previously earned amounts (less chargebacks and adjustments) will be paid out in the final payout cycle following termination, subject to any applicable holds.
4.5 Currency
All payouts are denominated in United States Dollars (USD). If your bank account is in a different currency, Stripe will convert the payout at the prevailing exchange rate. Currency conversion fees, if any, are charged by Stripe and are your responsibility.
5. Tax Obligations
5.1 Independent Contractor Status
You are an independent contractor and NOT an employee, agent, or representative of PalcoTV. Nothing in this Agreement creates an employment relationship, partnership, or joint venture between you and PalcoTV. You are solely responsible for your own taxes, insurance, and business expenses.
5.2 Tax Reporting (United States)
If you are a U.S. person (U.S. citizen or resident) and earn $600 or more in a calendar year through PalcoTV, we are required by law to report your earnings to the Internal Revenue Service (IRS) and provide you with an IRS Form 1099-NEC. You may be required to provide a valid W-9 form (or W-8BEN for non-U.S. persons) as part of your Stripe Connect onboarding.
5.3 Tax Compliance
You are solely responsible for determining, calculating, and paying any taxes (federal, state, local, or foreign) arising from your earnings on PalcoTV. PalcoTV does not withhold taxes from your payouts (except where required by law). PalcoTV does not provide tax advice. You are encouraged to consult a qualified tax professional.
5.4 International Tax Obligations
If you are located outside the United States, you are responsible for complying with the tax laws of your country of residence. PalcoTV may be required to withhold taxes on payments to non-U.S. persons in accordance with applicable tax treaties and IRS regulations.
6. Intellectual Property
6.1 Your Content
You retain all ownership rights in the content you create and stream on PalcoTV. PalcoTV does not claim ownership of your content.
6.2 License to PalcoTV
By streaming on PalcoTV, you grant PalcoTV a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your content solely in connection with operating and providing the Service. This includes:
- Displaying your live streams to viewers in real time;
- Storing and delivering stream recordings, thumbnails, and clips;
- Using your stream thumbnails, username, and profile information for promotional purposes (e.g., featuring streams on the PalcoTV HomeScreen, social media, or marketing materials);
- Enabling the technical delivery of content (transcoding, encoding, CDN distribution).
This license terminates when you delete your content or your account, except for copies that: (a) remain in routine backup systems, (b) have been shared or redistributed by other users in accordance with these Terms, or (c) are required to be retained by law.
6.3 Promotional Use
PalcoTV may feature your stream, username, profile photo, and viewer metrics in promotional materials, including but not limited to social media posts, press releases, App Store listings, and marketing campaigns. PalcoTV will not imply that you endorse PalcoTV or its products beyond your participation as a streamer on the platform. If you wish to opt out of promotional use, you may notify us at [email protected], and we will remove your content from future promotional materials within a commercially reasonable time.
7. Indemnification
You agree to indemnify, defend, and hold harmless PalcoTV LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your content, including any claims that your content infringes the intellectual property rights, broadcasting rights, privacy rights, or other rights of any third party;
- Your violation of this Agreement, the Terms of Service, or the Community Guidelines;
- Your violation of any applicable law or regulation;
- Any tax liability arising from your earnings on PalcoTV;
- Any dispute between you and a viewer regarding donations;
- Any claim arising from your rebroadcasting of copyrighted sports content.
8. Termination
8.1 Termination by You
You may terminate this Agreement and stop streaming on PalcoTV at any time by notifying us at [email protected] or through the account settings. Upon termination:
- Your streaming privileges will be revoked;
- Your viewer account will remain active (you may continue to watch streams);
- Any pending payouts above the minimum threshold will be processed in the next regular payout cycle;
- Balances below the minimum payout threshold will be forfeited 180 days after termination, unless you request a final payout at [email protected].
8.2 Termination by PalcoTV
PalcoTV may suspend or terminate your streaming privileges at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:
- Violation of this Agreement, the Terms of Service, or the Community Guidelines;
- Accumulation of strikes under the Community Guidelines strike system;
- Suspected fraud, including artificial viewer inflation or donation manipulation;
- Identity verification failure or suspected fraudulent verification;
- Extended period of inactivity (no streams for 365 consecutive days);
- Request by law enforcement or a government agency.
8.3 Effect of Termination
Upon termination:
- All previously earned amounts (less chargebacks, refunds, and adjustments) will be paid out in accordance with Section 4, subject to any applicable holds;
- PalcoTV will not withhold earned money as a punitive measure;
- Your content license to PalcoTV (Section 6.2) terminates, except as specified in Section 6.2;
- Sections of this Agreement that by their nature should survive termination will survive (including Sections 5, 7, and 9).
9. Dispute Resolution
Any disputes arising out of or relating to this Agreement shall be resolved in accordance with the Binding Arbitration and Class Action Waiver provisions set forth in Section 13 of the PalcoTV Terms of Service, which are incorporated herein by reference.
10. Representations and Warranties
You represent and warrant that:
- You are at least 18 years of age;
- You have the legal right and authority to enter into this Agreement;
- All information you provide to PalcoTV, including during identity verification, is truthful and accurate;
- Your content does not and will not infringe the intellectual property rights, broadcasting rights, privacy rights, or other rights of any third party;
- You will comply with all applicable laws and regulations in connection with your streaming activities;
- You will not rebroadcast, retransmit, or display copyrighted sports content through PalcoTV;
- You will comply with the Audio Isolation Requirement set forth in Section 2.5 at all times while streaming, ensuring that no broadcast audio is captured by your microphone;
- You understand that PalcoTV does not guarantee any specific number of viewers, donations, or earnings.
11. Disclaimer
PALCOTV DOES NOT GUARANTEE ANY MINIMUM NUMBER OF VIEWERS, DONATIONS, OR EARNINGS. YOUR SUCCESS AS A STREAMER ON PALCOTV DEPENDS ON MANY FACTORS OUTSIDE OF PALCOTV'S CONTROL, INCLUDING THE QUALITY OF YOUR CONTENT, YOUR AUDIENCE SIZE, AND THE TIMING OF YOUR STREAMS.
PALCOTV PROVIDES THE PLATFORM "AS IS" AND MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE AVAILABILITY, RELIABILITY, OR PERFORMANCE OF THE SERVICE.
12. Confidentiality
12.1 Beta Program
If you participate in the PalcoTV beta program, you agree to keep confidential any non-public information about the Service shared with you during the beta period, including but not limited to unreleased features, technical capabilities, and business plans. This obligation expires when the information becomes publicly available.
12.2 Stream Key
Your stream key is confidential information. You must not share it with any third party.
13. Non-Exclusivity
This Agreement is non-exclusive. You are free to stream on other platforms (Twitch, YouTube, Kick, TikTok, or any other service) simultaneously or at any time. PalcoTV does not require exclusivity.
14. Modifications to This Agreement
PalcoTV may modify this Agreement at any time by posting the updated Agreement at https://palcotv.app/streamer-agreement and notifying you by email or in-app notification. Material changes to the revenue split will be communicated with at least ninety (90) days' notice as described in Section 3.4. All other material changes will be communicated with at least thirty (30) days' notice.
Your continued streaming on PalcoTV after the effective date of any changes constitutes your acceptance of the modified Agreement. If you do not agree with the changes, you must stop streaming and terminate this Agreement.
15. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in El Paso County, Texas.
16. Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, and Community Guidelines, constitutes the entire agreement between you and PalcoTV regarding your streaming activities on the platform and supersedes all prior agreements, understandings, and communications, whether written or oral.
